1. Provider and Scope
These Terms and Conditions ("Terms") govern access to and use of:

2. Definitions
- "User" / "you" means any person or entity using the Services.
- "Content" means text, data, files, messages, media, and other material.
- "User Content" means Content submitted or generated by users.
- "Consumer" means a natural person acting outside trade, business, craft, or profession.
3. Acceptance and Eligibility
By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must have legal capacity to enter a binding contract under applicable law.
If you use the Services for an organization, you confirm you are authorized to bind that organization.
4. Changes to the Terms
We may update these Terms to reflect legal, technical, or product changes. We will publish the updated version and revise the "Last updated" date. Changes apply from publication unless mandatory law requires additional notice.
5. Accounts and Security
Where an account is required, you must:
- provide accurate and current information,
- keep credentials confidential,
- promptly notify us of suspected unauthorized access.
You are responsible for activity under your account unless mandatory law provides otherwise.
6. Acceptable Use and Prohibited Conduct
You agree not to:
- violate applicable law,
- submit fraudulent or misleading information,
- harass, threaten, exploit, or harm others,
- upload unlawful, hateful, defamatory, or sexually exploitative content,
- interfere with system integrity, availability, or security,
- attempt unauthorized access, reverse engineering, scraping, or abusive automation,
- distribute malware or malicious code,
- impersonate another person or entity.
7. User Content and License
You retain ownership of your User Content.
You grant Sosiale AI a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, and display User Content only as necessary to operate, secure, moderate, and improve the Services.
You represent that you have rights to submit the User Content and that it does not violate law, third-party rights, or these Terms.
8. Moderation and Enforcement
To protect users and platform integrity, we may investigate violations and take proportionate action, including warning, content removal, restriction, suspension, or termination.
Where legally required, we provide notice and available complaint or appeal channels.
9. Intellectual Property
Except for User Content, all rights in the Services (including software, branding, design, text, and graphics) are owned by Sosiale AI or licensors.
No rights are granted except the limited right to use the Services under these Terms.
10. Third-Party Services
The Services may integrate with or link to third-party services (for example app stores, infrastructure providers, payment providers, analytics, or mapping tools). Third-party services are governed by their own terms and policies.
11. Beta and Experimental Features
Some features may be labeled alpha, beta, preview, or experimental. They may be modified or discontinued at any time and may have limited support.
12. Paid Services, Billing, and Taxes
If paid Services are offered:
- pricing, billing cycle, and key commercial terms are shown before checkout,
- additional product-specific terms may apply,
- applicable taxes may be added where required by law,
- non-payment may result in suspension after applicable notice.
For direct purchases from Sosiale AI, the Refund Policy applies.
13. Consumer Rights (EU/EEA)
Nothing in these Terms limits mandatory consumer rights.
For distance contracts with consumers, statutory withdrawal/cancellation rights may apply, subject to legal exceptions (including digital content/service exceptions where valid consent is obtained before immediate performance).
14. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We do not guarantee uninterrupted, secure, or error-free operation.
Nothing in these Terms excludes non-excludable rights or guarantees under mandatory law.
15. Limitation of Liability
To the maximum extent permitted by law, Sosiale AI is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, goodwill, data, or business opportunity.
To the maximum extent permitted by law, Sosiale AI's aggregate liability arising from or related to the Services is limited to the greater of:
- amounts paid by you to Sosiale AI for the affected Service during the 12 months before the event giving rise to the claim, or
- EUR 100.
This limitation does not apply where liability cannot be limited by law (for example intent, gross negligence, death, personal injury, or mandatory statutory rights).
16. Indemnification
If you use the Services in a business capacity, you agree to indemnify and hold harmless Sosiale AI from third-party claims, damages, and reasonable costs arising from your unlawful use, your User Content, or your breach of these Terms.
This section does not limit non-waivable consumer rights.
17. Suspension and Termination
We may suspend or terminate all or part of the Services if:
- you materially breach these Terms,
- required by law,
- necessary to protect users, third parties, or platform security.
You may stop using the Services at any time.
Provisions that by nature should survive termination survive, including intellectual property, disclaimers, liability limits, dispute terms, and related legal provisions.
18. Governing Law and Jurisdiction
These Terms are governed by Estonian law.
For consumers, mandatory local consumer protection rules and jurisdiction rights remain unaffected.
For non-consumer disputes, exclusive jurisdiction is Harju County Court (Tallinn, Estonia), unless mandatory law states otherwise.
19. Language and Interpretation
These Terms may be provided in multiple languages. If there is a conflict between language versions, the English version governs unless mandatory local law requires otherwise.
20. Miscellaneous
If any provision is invalid or unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision is not a waiver of rights.
These Terms, together with referenced policies (including Privacy Policy and Refund Policy), form the entire agreement regarding the Services unless a separate written agreement applies.
